4. Intellectual Property Rights

4.1 Our Property

All content, features, and functionality on our website, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are the exclusive property of Blendwit and are protected by international copyright, trademark, and other intellectual property laws.

4.2 Client Property

Upon full payment, clients retain ownership of custom-developed deliverables as specified in the project agreement. Blendwit retains the right to showcase completed projects in our portfolio unless otherwise agreed in writing.

5. Payment Terms

• Payment terms are specified in individual project agreements
• Invoices must be paid within the timeframe specified in the agreement
• Late payments may incur additional fees
• All fees are non-refundable unless otherwise stated in writing
• Prices are subject to change with prior notice

6. Project Deliverables and Timeline

Project timelines and deliverables will be outlined in the project agreement. While we strive to meet all deadlines, timelines are estimates and may be subject to change based on:

• Client feedback and approval timelines
• Scope changes or additional requirements
• Technical complexities or unforeseen challenges
• Force majeure events

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of the project. This obligation survives the termination of the agreement.

8. Warranties and Disclaimers

8.1 Our Commitment

We warrant that we will perform our services with reasonable care and skill, in accordance with industry standards.

8.2 Disclaimer

Our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

9. Limitation of Liability

To the maximum extent permitted by law, Blendwit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

10. Termination

Either party may terminate a service agreement as outlined in the project-specific terms. Upon termination:

• Client must pay for all services rendered up to the termination date
• Blendwit will deliver all completed work
• Both parties must return or destroy confidential information

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Nepal. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Kathmandu, Nepal.

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of any material changes by posting the updated terms on our website. Your continued use of our services after such changes constitutes acceptance of the new terms.
